This unexpected success testifies to one thing: the strong need, in the Tech ecosystem, for reference documents to support entrepreneurs, especially in this essential step, which is the shareholders' agreement.

This is why The Galion Project is pleased to provide you with the new edition of the updated and illustrated Galion Term Sheet, a sample letter of intent prior to the shareholders' agreement accompanied by notes and comments. The purpose of this publication is to guide business founders in drafting a document to frame their first round of financing with professional venture capital investors (series A).

Like each of the tools published by The Galion Project, the new edition of the Galion Term Sheet is the result of feedback from Galion entrepreneurs and is available free of charge in open source. This collective work was carried out under the direction of Jean-Baptiste Rudelle and Frédéric Mazzella, with the valuable collaboration of Renaud Bonnet and Pierre Karpik from the law firms Jones Day and Gide Loyrette Nouel.
