General membership conditions and confidentiality
1. GENERAL CONDITIONS OF MEMBERSHIP
Activity : refers to any event organized by Galion to which the Member may have access, which may give rise to additional billing, described in article 5 of the General Conditions.
Membership : refers to the fact that the Member joins the Galleon community materialized by the payment of his annual membership fee.
Candidate : refers to any person wishing to join Galleon and submitting an application. If the application is accepted, the Candidate becomes a Member.
Account : refers to the Member's personal space on the Site.
Conditions General: refer to these general conditions of Galleon Membership.
Crew : refers to a “trust group” constituted by Galleon, of which the Operational Member may be a member.
Founder : refers to the founder of the Member, for whom the Membership request is made.
The Galion: refers to the company The Galion, SAS with a capital of 42,759 euros, registered under number 811255603 at the RCS of Paris, having its head office at 34 Boulevard des Italiens, 75009 Paris.
Member : refers to any natural or legal person acting in the context of their professional activity, adhering to Galion, it being specified that only the Founder of the legal person whose name is indicated on the Membership may have access to the Services and participate in the Activities in exchange for the payment of an annual fee.
Godfather : refers to a Member agreeing to validate a candidate for Galleon Membership.
Services : refers to all the Services offered by Galion to the Member and described in article 4 of these General Conditions.
Site : refers to the website published by Le Galion and accessible at the address https: //thegalionproject.com/
Telegram : messaging application.
Seminar : refers to any seminar organized by Galion and offered to the Member according to the General Conditions, giving rise to additional billing, which may be called “Galion Break”.
2. SCOPE OF APPLICATION
These General Terms and Conditions govern the conditions of Membership and participation of the Galleon Member as well as the conditions under which the Member benefits from Galleon Services, Activities and Seminars.
In the event that the Member is a legal person, the Member is strong and guarantees compliance with these General Conditions by said Founder.
The communication by the Member to Galleon of his Membership application form implies unreserved, full and complete acceptance of the General Conditions and the Galleon Ethical Charter. They are applicable for the duration of the Membership.
Le Galion reserves the right to modify the General Conditions at any time. The Galleon will then notify the Member of the changes. Any modification will take effect within a period which may not be less than fifteen (15) days from the notification sent to the Member.
The Member may refuse these changes by terminating the Membership before the expiry of the said notice period under the conditions that will be mentioned. In the absence of termination, the Member will be deemed to have accepted the amended General Terms and Conditions.
If one or more stipulations of these General Conditions are held to be invalid or declared as such in application of a law, regulation or a final decision of a competent court, the other stipulations will remain in full force and scope.
These General Conditions prevail over any contrary stipulation that may appear in other writings of the Member, even sent later than these, unless previously accepted in writing by Galion.
3. MEMBERSHIP
3.1. Membership requirements
In order to join Galleon, the Candidate must respect the following cumulative conditions:
- be a Tech company, i.e. have developed a digital innovation linked to a product, process or technology;
- have raised funds of a minimum amount of 3 million euros from an investment fund;
- have a board of directors, supervisory board or strategic board;
- be validated by at least two (2) Sponsors;
- have a profile compatible with the Galleon philosophy.
To have his application considered, the Candidate must complete all the categories provided for in the membership form on the Site, validate the said form and communicate with Galleon.
Galleon is the sole decision-maker when it comes to applications for Membership and is free to accept or not the Membership of a Candidate based on the information provided by the Candidate. There is no right to Membership, as compliance with the conditions of Membership mentioned above does not prejudge Galleon's decision. Le Galleon reserves the right to exceptionally accept an application that does not comply with the Membership conditions but whose profile is compatible with the philosophy of Galleon, without a Candidate or Member being able to oppose it, or request any compensation in this respect.
Once his application has been validated by Le Galion, the Candidate must pay the annual fee referred to in article 3.3.1. hereof in order to make his Membership effective.
Membership is personal, non-transferable in any way and to anyone, and in the case of a Member who is a legal person, made for a single Founder. If the legal person Member wishes to have a second Founder join, he must make a new application and pay a second annual fee.
3.2. Duration and renewal
Galleon Membership is concluded for a period of one (1) calendar year from the date of payment of the annual membership fee.
At the end of the initial period referred to above, the Member may renew its Membership for one (1) new year by paying the amount of the annual subscription mentioned in article 3.3.1.
The Member can also choose, on his Account, the automatic renewal of his Membership. He will then be required to provide Galleon with a means of payment. If the Member has chosen automatic renewal and when the Member's Membership expires, Galleon will use one of the registered payment methods to pay for the renewal of the Membership.
The Member is free to cancel the Membership early at any time upon simple notification to Galleon. In this case, the annual membership fee will not be reimbursed by Galleon.
3.3. Financial conditions
3.3.1. Annual membership fee
The amount of the annual subscription is indicated on the Site and is mentioned in euros excluding tax. This amount must be paid by bank transfer, bank debit or credit card payment.
In the event that this annual fee must be paid to validate a first Galleon Membership, the amount of this contribution must be paid immediately, in one go.
In the event that this contribution must be paid to renew a Membership, it must be paid within thirty (30) days from the issuance of the related invoice.
In the event that the annual subscription was not paid, Galion reserves the right to suspend access to the Services, Activities and Seminar.
In the event of payment of the membership fee by bank debit, the Member undertakes to inform the institution holding the bank account to debit the said debit and to inform Galion of any change in bank details. He is committed to ensuring that samples can be taken on the scheduled dates.
3.3.2. Additional costs
The amount of the Membership does not include any additional price that may be due by the Member in case of registration for Services, Activities or Seminars whose price is not included in the membership fee.
In order to be able to register for these Services, Activities or Seminars, any Galleon invoice in this context must be paid by the Member within the period indicated by the Galleon.
4. SERVICES
4.1. Principle
The Services are for Members only. The Member's access to the Services is personal, and for a Member who is a legal entity, reserved for the person of the Founder.
For the Services included in the annual Membership fee and subject to the payment of this fee, the Member thus has access to:
- to a Personal Account on the Site allowing access in particular to the content under the conditions mentioned in article 4.2 below;
- to Galleon Telegram channels under the conditions mentioned in article 4.8 below;
- to the Galleon newsletter.
Depending on the profile of each Member, Le Galion may decide to integrate a Member into a Crew under the conditions mentioned in article 4.7. This decision is subject to the free appreciation of Galleon.
4.2. Member account
By joining Galleon, the Member is created an Account on the Site on the Site in which he can in particular:
- view their profile page;
- manage their Account and modify their personal data;
- manage and renew your Membership;
- write an article and manage articles that have already been published;
- read the ethical charter;
- learn about upcoming Seminars;
- learn about the tools available to Members;
- take note of the trombinoscope described in article 4.3 hereof;
- have access to the Galion Brain described in article 4.4 hereof;
- have access to the Perks described in section 4.5. hereof;
To access his Account, the Member must log in using the username and password created.
Identifiers and passwords are under the full and sole responsibility of the Member. The Member undertakes to take all useful measures to guarantee their security and confidentiality. He is therefore solely responsible for the consequences of the loss or misuse of identifiers and passwords, such as undue access, damage, disturbances and harmful consequences caused by a breach of the confidentiality of identifiers and/or passwords.
In the event of loss, misappropriation or fraudulent use of identifiers and/or passwords, the Member undertakes to immediately notify Le Galion.
The Member is prohibited from transferring, renting, selling, making accessible or granting to third parties all or part of the access to his Account, as well as to the information that appears and/or is shared there.
4.3. Members' Trombinoscope
The trombinoscope is a database accessible from the Account, gathering all information on Members.
By becoming a Member, he thus accepts that all the data concerning him that he will have communicated to Galion during his application and/or that the Galion will have collected about him (in particular personal data) to be published on this page.
4.4. Galleon Brain
The Galion Brain is a database accessible on the Account containing in particular:
- reports,
- debriefs,
- articles published by Members,
- extracts of Members' content and conversations published on the Galleon general Telegram channel as indicated in article 4.8 hereof.
Ownership of the documents and information contained in this Galion Brain is governed by section 9 hereof.
4.5. Galleon Perks
The Perks page is a database of discounts and partnerships offered by service providers, accessible on the Account, powered by Galleon Members.
By publishing offers from service providers, the Member guarantees that he has obtained the necessary authorizations to do so.
If a contractual relationship was created between the Member and a service provider in this context, it would be completely independent of the relationship created between the Member and Galleon. Le Galion is therefore not responsible for the facts and actions of these service providers.
4.6. Crew
As of membership, the Member may be part of a Crew if Le Galion considers that this is appropriate to their profile.
The Crews are made up of the Galleon, which alone decides the distribution of Members among them. Subject to Galleon's written agreement and for legitimate reasons that will be appreciated only by Galleon, the Member, if assigned to a Crew, may change Crew.
The Member's Crew will be managed by “leaders” who will make the Crew live, will ensure the organization of events and exchanges between the Members who are part of the same Crew. The Member may request the quality of leader, with Galleon alone having the power to choose the Member with this quality.
4.7. Galleon Telegram channels
The Member's Membership thus gives him access to the various private Telegram channels created by Galleon.
In order to be able to access it, the Member must have an account on this email and have accepted the general conditions of use. He must also have sent the Galleon all the information necessary to allow him to join Galleon's private channels.
The Galleon will integrate the Member on its general channel including all Galleon Members (the “THE GALION ProjectL”), as well as on particular channels (in particular the channel of its Crew). The Galleon is the sole decision-maker of the channels that the Member must integrate, the Member cannot require to join a particular channel.
For their part, the Member will also be able to join some private channels in Galleon if they wish.
The Member is expressly informed that all content and conversations published on the Galion General channel and the “Telegram US” channel may be reproduced within Galion Brain, it being specified that this content will then be accessible to all Members. In this context, the Member grants Galion the right to use, represent and reproduce, all or part of the publications and content that it publishes on the above channels, for the exclusive attention of Members, without time limit.
The Member is expressly informed that all content published on other channels is strictly confidential and will not be used or published by Galion.
The Member is informed and acknowledges that he has the skills and equipment necessary for accessing and using Telegram, and will therefore have to personally assume all the costs related to his equipment (telecommunications costs, Internet, etc.), with no possible recourse against Galleon.
5. ACTIVITIES
5.1. Principle
Galleon Membership allows access to a certain number of Activities and Seminars/Seminars, reserved for Members only and more particularly for the person of the Founder. Seminars are subject to the conditions set out in article 3 below, separate from those applicable to Activities.
The price of some Activities is already included in the amount of the annual membership fee paid by the Member.
5.2. Activities included in the contribution paid
For the Activities included in the annual Membership fee and subject to the payment of this membership fee, the Member has access to:
- a welcome dinner organized by Le Galion;
- a half-day and an annual evening organized by the Galion;
- dinners and lunches that can be organized from time to time by Galion with a partner third to Galion;
Le Galion undertakes to offer these activities to the Member up to date with his annual membership fee.
5.3. Activities not included in the contribution paid
For Activities not included in the annual Membership fee and subject to payment of the price of these Activities, the Member may have access to:
- dinners and lunches, which may be organized from time to time by the Galleon at the price and under the conditions indicated by the Galleon when the invitations were communicated;
- any other complementary Activities that may be offered from time to time by the Galleon.
5.4. Activity registration and applicable conditions
The Activity proposal is made by Galleon to the Member who is up to date with his membership fee. This proposal includes a description of the Activity, its price if the Activity is not included in the subscription paid, its dates, the number of seats, the conditions of access and registration as well as any special conditions applicable to the Activity concerned.
The Member is free to participate in the Activities offered by the Galleon.
If the Member chooses to register and participate in an Activity, he undertakes to:
- send the Galleon the necessary information;
- pay the price if applicable;
- accept any special conditions that may apply specifically to this Activity.
If the Member chooses to abandon the Activity, he will not be able to request any financial compensation.
Access to an Activity may be refused to a Member who has not respected the conditions for registering for the Activity concerned, without the Member being able to seek any compensation in this respect.
5.5. Cancellation or Postponement of the Activity
Access to an Activity may be subject to a minimum number of people. In the event that the minimum number of participants is not reached, Galion reserves the right to cancel the Activity and to reimburse the Member within fourteen (14) days from the cancellation (in the event that this Activity is not included in the amount of the annual fee).
In the event that Galleon should postpone or modify an Activity, the Member will be notified by the Galleon. The Member will then choose whether or not to continue participating in the Activity. In the event of refusal, Galion will refund the Member within fourteen (14) days (in the event that this Activity is not included in the amount of the annual fee).
In any event, Galion reserves the right to cancel the Activity and to reimburse the Member within fourteen (14) days from the cancellation (in the event that this Activity is not included in the amount of the annual fee).
In the event that the Member cancels his participation in the Activity, he must notify Galleon. The Galleon will not be required to reimburse him for the amount of his participation in the Activity.
6. SEMINARS
The Galleon is registered in the register of travel operators provided for in article L.141-3 of the Tourism Code under the number IM075190055. Its financial guarantee is provided by APST, 15 Avenue Carnot, 75017 Paris. Le Galion has taken out insurance to guarantee the consequences of its professional civil liability with Hiscox SA, 38 avenue de l'Opéra, 75002 Paris, for an amount of coverage for all damages combined, per claim and per year, of 1.5 million euros.
This article 6 applies only to the services relating to the Seminars, including in particular transport, accommodation and any other tourist service, provided by Galion for the benefit of its Members.
Galleon Membership allows the Member to register for Seminars. For members who are legal entities, these Seminars are reserved for the person of the Founder.
6.1. Pre-contractual information
In accordance with articles L. 211-8 and R. 211-4 of the Tourism Code, Galion provides Members, prior to the conclusion of the travel contract, with the necessary pre-contractual information and in particular (hereinafter the “Special Conditions”):
- the main characteristics of the services offered relating to transport and stay;
- the contact details of the service providers involved in the organization of the Seminar;
- the price and terms of payment;
- the conditions for cancelling and terminating the contract;
- information on insurance as well as border crossing conditions.
In accordance with Article L.211-9 of the Tourism Code, the Parties expressly agree that Galleon may modify the Special Conditions, in particular with regard to the price and content of the services before the conclusion of the contract relating to the Seminar.
6.2. Enrollment
To register for a Seminar, the Member must cumulatively:
- have read the Special Conditions;
- fill out the registration form completely;
- send the registration form to Galleon; and
- proceed with the payment of the said Seminar, under the conditions and according to the price indicated.
Registration for a Seminar by the Member implies the Member's full acceptance of the Special Conditions. The legal person Member is committed to the respect of these Special Conditions by the Founder.
6.3. Seminar contract
The contract relating to the Seminar is composed of these General Conditions, as well as the Special Conditions. In case of contradiction between the General Conditions and the Special Conditions, the latter will prevail.
The contract relating to the Seminar is concluded when the conditions for the Member's registration in the Seminar are met. A copy of this contract will be sent to the Member following registration.
The Member has the right to transfer the contract relating to the Seminar under the conditions provided for in article L.211-11 of the Tourism Code to a third party who meets the same conditions as him. In this case, the Member is required to inform Galion of his decision by registered letter with acknowledgement of receipt no later than seven (7) days before the start of the Tourist Service. Galleon then immediately informs the Member of the amount of the costs relating to this transfer, costs which cannot exceed any additional costs requested by Galleon and the cost of processing the transfer file by Galleon. In the event of an Transfer, the Member is jointly and severally liable with the third party and with respect to Galleon for the payment of the balance of the price as well as any additional costs caused by this transfer.
6.4. Financial conditions
The Member pays the Galleon the price of the Founder's Seminar indicated in the Special Conditions at once by bank transfer or by credit card payment.
If this is expressly provided for by the Special Conditions of the Seminar, the Member must pay a deposit in order to book the Seminar and will pay the balance according to the conditions provided for by the Special Conditions.
In general, and unless otherwise provided in the contract relating to the Seminar, the price of the Seminar does not include the optional supplements chosen by the Member and not provided for in the contract (e.g. room category, luggage supplement, modification of the catering formula, etc.), drinks, personal expenses, etc.), drinks, personal expenses and any other expenses corresponding to goods or services not expressly included in the Seminar.
6.5. Arrival
To participate in the Seminar, the Member must show up on the agreed day and at the times mentioned on his contract relating to the Seminar. In the event of a late or delayed arrival or a last-minute impediment, the Member must notify the contact person within Galion whose contact details appear on the contract relating to the Seminar. The price of the Seminar not consumed due to this delay will remain due and the delay will not give rise to any refund.
6.6. Withdrawal
The Member is informed that sales of tourist services are not subject to the application of the right of withdrawal provided for in articles L 121-21 and following of the Consumer Code in terms of distance selling.
6.7. Cancellation conditions by the Member
In accordance with article L211-14 I of the Tourism Code, the Member may cancel the contract relating to the Seminar at any time subject to payment of the fees below. Any request for cancellation must be notified in writing to Galion. The date of receipt of the above request will be the date selected for the calculation of the fees referred to below:
- Cancellation 60 days or more before departure: 100% refund of the Seminar;
- Cancellation between 31 and 59 days before departure: 50% of the seminar price;
- Cancellation between 0 and 30 days before departure: 0% of the seminar price.
By way of derogation from the above, in accordance with article L.211-14 of the Tourism Code, the Member has the right to cancel the Seminar before the start of the Seminar without paying cancellation fees if exceptional and unavoidable circumstances within the meaning of article L.211-14 mentioned above, occurring at the place of destination or in the immediate vicinity of it, have significant consequences on the execution of the contract or on the transport of passengers to the place of destination. In this case, the Member is entitled to a full refund of payments made but not to additional compensation.
6.8. Cancellation conditions by Le Galion
The Galleon may cancel the Seminar before departure and must in this case reimburse all amounts paid by the Member without being required to pay additional compensation, in the following cases:
- when a minimum number of participants is required as indicated in the contract relating to the Seminar and this number is not reached;
- when Galleon is prevented from performing the contract relating to the Seminar due to exceptional and unavoidable circumstances and shall notify the termination of the contract relating to the Seminar as soon as possible before the start of the Seminar.
6.9. Obligations of the Member concerning Seminars
It is the Member's responsibility to check that the personal information he provides when registering for a Seminar is accurate and complete. Le Galion cannot be held responsible for any missing or erroneous information.
It is the Member's responsibility to comply with all the administrative formalities necessary to carry out the Seminar (identity documents, administrative authorization to enter and leave a territory, visas, etc.). Le Galion draws the Member's attention to the need to find out, before making a reservation, about the formalities to be completed by contacting the authorities concerned according to his personal situation. The information that may be given in this regard by Galion does not exempt the Member from this obligation to provide information. Le Galion cannot be held responsible for the consequences of any failure by the Member to comply with the obligations provided for in this paragraph.
It is the Member's responsibility to respect the rules and conditions of each third party provider involved in the Seminar, in particular the hotel rules and regulations and the safety rules of activities. The Member undertakes not to demonstrate incivility during his Seminar and to use common sense, caution and precaution during the activities in which he participates. In the absence of compliance by the Member with the above, Galleon or any other service provider intervening during the Seminar will be authorized to interrupt the Member's stay and/or, as the case may be, the activity or service concerned. In such cases, the Member will not be entitled to any refund or compensation and will alone bear all the costs resulting from this situation.
The Member is responsible for all damages caused by him. He is therefore invited to check whether he has insurance covering him during his seminar. Otherwise, it is strongly recommended that he subscribe one.
6.10. Complaints in the framework of the Seminars
The Member is required to report any non-compliance with the Galleon Seminar contract on site and, where applicable, to any service provider concerned as soon as possible in view of the circumstances of the case.
Failure to report non-compliance on site may have an influence on the possible amount of damages or price reduction due (if applicable) if reporting non-compliance without delay could have avoided or reduced the Member's damage.
Any complaint must be sent, along with supporting documents, by registered letter with acknowledgement of receipt to Galion within a maximum of thirty (30) days after the return date.
The parties will make their best efforts to resolve this dispute amicably.
6.11. Responsibility within the framework of the Seminars
Le Galion is responsible for the proper execution of the seminar services provided for in the contract in accordance with articles L.211-16 to L.211-17-3 of the Tourism Code and is required to provide appropriate assistance to the Member if he is in difficulty, in accordance with article L. 211-17-1 of the Tourism Code.
Under no circumstances can Galion be held responsible for damages attributable to (i) either the Member, (ii) or to a third party other than the provision of the services included in the contract relating to the Seminar, which is of an unforeseeable or unavoidable nature, (iii) or to exceptional and unavoidable circumstances. Galion can never be held liable for indirect damages or for any thefts or losses suffered by the Member as part of the Seminar. Le Galion cannot be held responsible for the performance of any services purchased on site by the Member and not provided for in the contract relating to the Seminar and/or for the direct or indirect damages arising from them.
Le Galion cannot be held responsible for changes in schedules or itineraries, for changes in airports caused by circumstances beyond its control.
For the Seminars, Galleon may entrust the carrying out of transport to regular airlines and to railway companies duly authorized by the competent authorities to transport passengers and serve the territories covered by the Seminar. Any change or modification of the timetables or the circuit made by the transport companies will be notified as soon as possible to Galion. In general, transport is subject to the general conditions of transport of each airline or railway company. The Member therefore undertakes to take note of these transport conditions.
7. COMMUNICATIONS AND BEHAVIOR IN THE GALLEON SETTING
Galion offers Services, Activities, Seminars and tools allowing Members to meet other Members and exchange information with them, to share their experience, knowledge and best practices. These exchanges must be animated by kindness and be in accordance with the philosophy of Galleon.
In this context, the Member undertakes to:
- speak and behave in respectful ways;
- refrain from any unlawful speech or conduct, contrary to morality and public order, inappropriate, harassing, violent, denigrating, insulting or defamatory against a Member, a third party or Galleon;
- respect the opinions of other Members;
- not to carry out personal advertising for commercial purposes and/or hype.
La Galleon does not necessarily have knowledge of all the behaviors, words, publications and exchanges of Members. Le Galion thus declines any responsibility concerning the conduct, words, publications and exchanges carried out by or between Members, whether they take place in public or not.
However, any Member may notify Galleon of any behavior, comments, publications and exchanges that they deem inappropriate. Le Galleon then undertakes to notify the author Member and if necessary to:
- immediately remove the publication or said content regardless of the medium (Telegram channels, Galion Brain, Galion VC Base);
- terminate the Member's Membership under the conditions indicated in article 12.1 hereof;
without the Member being able to seek any compensation in this respect.
This article constitutes an essential clause of the General Terms and Conditions without which Galleon would not have entered into a contract.
8. CONFIDENTIALITY
As part of Membership, the Galleon and the Member are required to exchange a certain amount of information, and the Member is required to know a certain amount of information relating to the Galleon and its Members. This information is subject to the confidentiality obligation defined in this article.
The Galleon and the Member acknowledge that all scientific, technical, commercial, commercial, commercial, marketing, marketing, industrial, financial and other information belonging to or legitimately owned by one of the parties, or relating to the Galleon or its Members, which is obtained in any form whatsoever, regardless of the context within the framework of the Membership, as well as the existence and provisions of these General Conditions, is confidential.
The Galion and the Member acknowledge that information for which one or other of the parties is in a position to establish is not confidential information for which one or other of the parties is in a position to establish:
- that they entered the public domain prior to the date of disclosure or communication;
- that they were already known to her before they were transmitted;
- that they were received from a third party in a lawful manner, without breaching this obligation;
- that they were developed independently and in good faith by its staff and provided that they had no knowledge of the said confidential information;
- that the law, applicable regulations or a court decision requires it to disclose them and that it has implemented all possible measures in order to prevent or, failing that, to limit such disclosure.
The Member and the Galion undertake to keep strictly confidential and not to transfer or disclose, directly or indirectly, all the confidential information mentioned above. The Member and the Galion undertake to take all necessary measures to ensure respect for confidentiality both by themselves and by any third party.
The Member and the Galleon, recognizing that any disclosure would seriously harm the interests of the other or of a third party, will therefore ensure the protection of any confidential information with as much care as if it were confidential data relating to its own affairs and secrets.
The Member and the Galion thus undertake that all confidential information cannot be used (except for the execution of these terms), published or communicated by it or one of its agents, by any means, in any form and in any manner whatsoever, and to ensure its security by taking all necessary measures.
The confidentiality obligation will be maintained for a period of five (5) years from the end of the Member's Membership for any reason whatsoever.
This article constitutes an essential clause of the General Terms and Conditions without which Galleon would not have entered into a contract.
9. OWNERSHIP OF THE CONTENTS
9.1. Member Property
The Member guarantees to have all the rights (in particular intellectual property rights) or to have obtained all the necessary authorizations to publish any content within the framework of Galion or to transmit this content to Galion, whatever it is and in any form, and guarantees that the latter does not violate any regulations in force or the rights of any third party or Member.
In the event that Galleon is held liable due to a breach by the Member of regulations, the rights of a third party or a Member, the latter must guarantee and indemnify Galleon for all the financial consequences resulting therefrom, in addition to any damages that may be claimed by Galleon.
Outside of Galleon, each Member is prohibited from reproducing, representing, publishing, publishing, publishing, transmitting, using, modifying or extracting all or part of the content to which they have access as part of Galleon (Telegram, Galion Brain, Galion Brain, Galion Brain, Galion VC Base, etc.), except with Galleon's authorization.
In the event that the Member is required to write an article for publication by Le Galion, the Member grants Galion free of charge, as soon as the said article is transmitted, a right to use, represent and reproduce the article and in particular accepts the publication of the article on its Site.
This article constitutes an essential clause of the General Terms and Conditions without which Galleon would not have entered into a contract.
9.2. Protection of the Site and its Contents
The Site taken as a whole, as well as each of its components taken independently, in particular the specific programs and developments, are the property of Galion.
All texts, comments, books, illustrations, works and images reproduced or represented on the Site are strictly protected by copyright and are either the property of Galion or the property of a Member.
Company names, brands and distinctive signs, in particular the Galion brands, reproduced on its Site, are protected under trademark law.
As such, any exploitation for any reason whatsoever, reproduction or total or partial representation of the Site or of all or part of these elements, trademarks and distinctive signs is strictly prohibited, unless expressly authorized by the owners.
Any unauthorized use or exploitation of the above elements is likely to constitute an infringement of the intellectual property rights of the owner of the rights concerned and to engage the civil liability of the author of the infringement.
Only a personal, non-exclusive, non-transferable and non-transferable right to use the Site and the tools made available is granted to the Member.
9.3 Database
The Member acknowledges that the Site and the Services consist of one or more databases made available by Galion as the producer of said databases within the meaning of the provisions of articles L341-1 and following of the Intellectual Property Code.
Consequently, any extraction and/or reuse of the database (s) within the meaning of articles L342-1 and L 342-2 of the Intellectual Property Code is prohibited.
10. PRINCIPLE OF USE AND MANAGEMENT OF THE SITE
When using the Site, the Member undertakes to:
- use the Site and its Account in accordance with public order and morality, in a non-abusive or unlawful manner;
- not to use means that would result in damaging the Site, compromising its access, or limiting its peaceful use by Galion, another Member or a third party;
- not to use and/or exploit the electronic and/or postal contact details of other Members of the Site in order to send mass solicitation e-mails and to engage in a practice of “spamming”;
- not to intercept or attempt to intercept personal data belonging to third parties;
- not to market all or part of the Services, tools, documents made available by Galion;
- not to deactivate, alter, disassemble, decompile, or perform reverse engineering operations on the Site.
For the proper management of the Site, the Galleon may at any time:
- suspend, interrupt or limit access to all or part of the Site, reserve access to the Site, or to certain parts of the Site;
- delete any information that may interfere with its operation or that violates national or international laws;
- suspend the Site in order to maintain it or to update it.
11. RESPONSIBILITY
Galleon can only be held liable to the Member for acts that are directly attributable to Galleon. Galion cannot be held liable for indirect damages, in particular the loss of chance to sell products and/or services, or even a non-performance or poor performance of the services included in the Membership attributable either to the Member, or to a third party, or to a third party, or to an unforeseeable and insurmountable fact, or to a case of force majeure. The Member acknowledges that the information and documents that may be sent by Galleon as part of the Membership are provided for information purposes only, must be adapted according to the situation and do not exempt the Member from carrying out its own analysis or study of the concrete situation. The information transmitted therefore does not constitute legal, accounting or financial advice. Le Galion is committed to making its best efforts to ensure that Members have access and availability of the Site and their Account at all times. However, its responsibility cannot be sought:
- in case of unavailability of the Site, for any reason whatsoever;
- in case of deletion or alteration in any way of the information, content, list, searches present on the Member's Account;
- when the Site proves to be incompatible or malfunctions with certain software, configurations, operating systems, equipment of the Member;
- in the event of an electrical power outage.
The Member declares to be well aware of the vagaries of the Internet, its characteristics and limitations, and recognizes and is aware in particular of:
- the possibility of suspension or impossibility of access to the Site and therefore to his Account;
- that data transmissions on the Internet are only relatively technically reliable, and that they are likely to be saturated at certain times of the day;
- that data circulating on the Internet is not protected against possible misuse;
- that despite the security set up by Galion, the Site may be subject to intrusions by unauthorized third parties and attacks of any kind whatsoever.
The Galleon cannot be held responsible for this fact. The equipment used to connect to the Site used by the Member is under his sole responsibility. As such, the Member must take all appropriate measures to protect its equipment and its own data, in particular from viral attacks via the Internet. Galion does not guarantee the compatibility of the Site with the use made by the Member. Le Galion cannot be held responsible for hypertext links on the Site giving access to other websites that it does not control. As such, the company Le Galion is not responsible for the content and availability of these sites.
12. END OF MEMBERSHIP
12.1. Termination for breach
In order to protect its Members and its image, Galion will notify the Member, by registered letter with acknowledgement of receipt, of the immediate application of this express termination clause, without prior notice, in the event of a serious breach by the latter of its contractual obligations and as limitatively listed below:
- violation of any law or regulation by the Member;
- conduct that is contrary to good morals or unlawful;
- illicit activity;
- failure to comply with article 7 hereof;
- damage to the image and/or reputation of Galleon and/or another Member;
- non-compliance with the obligation of confidentiality.
The termination will take effect, without any formality, without judicial intervention on the date of notification of the game of this express resolution clause by Galion to the Member.
In the event of non-performance by one or other of the parties of one of its obligations under these General Conditions, and in the absence of such party to remedy it within fifteen (15) calendar days from the sending of a letter of formal notice sent by registered letter sent by registered letter with request for acknowledgement of receipt, the party that is the victim of the breach may ipso jure and without judicial formality, terminate these General Terms and Conditions by registered letter with notice. of receipt addressed to the offending party, to the exclusive wrongs of this last, and this without prejudice to any damages and interests.

12.2. Consequences of the end of membership
Following the end of the Membership for any reason whatsoever, the Member:
- will no longer be able to take advantage of its membership in the Galleon;
- will no longer have access to his Account;
- will no longer be able to use the Services, tools and documentation presented on their Account, or register for Activities.
13. ASSIGNMENT
The contractual relationship is concluded between Galion and the Member in view of the particular skills of the Member. Therefore, the rights and obligations hereunder may not be assigned or transferred in whole or in part without the prior agreement of Galion. The Member already agrees that Galleon may assign or transfer the rights and obligations hereunder.
14. PERSONAL DATA
Each of the parties undertakes to comply with the provisions of the European General Regulation on the Protection of Personal Data No. 2016/679 (hereinafter “RGPD”), to make all declarations and obtain the necessary consents and authorizations for the collection and processing of personal data, and to respect and ensure that its officials respect and ensure that its officials respect the confidentiality and security of personal data that may be collected and processed by them in the context of the execution of these terms and conditions.

In the event of failure of the amicable resolution, the dispute will be settled by the commercial courts of Paris. *
